Is this a salesforce app that you have created in a salesforce developer edition?  If so, I'd suggest you take a look at the following wiki entry:

If that isn't the case, you won't be able to upload it to the app exchange.

Hi,

 

You need to create a package for the application that you made in developer org and make sure that the package can be installed sucessfully on any other org, and should be give any errors, then upload to app exchange.
