To the best of my knowledge the answer is No.

You can upload a package any time you like and even distribute it to others without certifing it.  Although, if you want it Published into the public AppExchange listings then you must get it certified by salesforce.

Does that sound right to everyone?

I have some other question.

 

Does the Appexchage Certification takes only functionality like governor limits etc into consideration and certify the Appliction or It assures the clients using the application about security of the data etc.
